Local Green Stuff Seller Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“Seller”) and Local Green Stuff (“we,” “us,” “our”). By listing products or services on the Local Green Stuff platform, you agree to these Terms. Please read carefully.

1. Definitions

• 1.1 “Content” refers to any text, images, videos, or other material provided by you on the platform.
• 1.2 “Local Green Stuff” means our website and all associated services.
• 1.3 “Post” means publishing or uploading content, products, or services to the platform.
• 1.4 “Product” refers to any item or service you list for sale on the platform.
• 1.5 “Service” includes all features, tools, and support provided through Local Green Stuff.

2. Our Role and Contract

• 2.1 Local Green Stuff provides a platform for sellers to connect with buyers.
• 2.2 We act solely as an intermediary and are not a party to any contract between you and the buyer.
• 2.3 By listing a Product, you agree to these Terms, as well as any applicable laws and regulations.
• 2.4 We may revise these Terms at any time, with notice provided for significant changes. Continued use of the platform constitutes acceptance of the updated Terms.

3. Eligibility to Sell

• 3.1 Sellers must represent small or independent businesses and align with the mission of promoting local, ethical, and sustainable trade.
• 3.2 You must provide accurate, up-to-date information during registration and ensure compliance with applicable laws.
• 3.3 Sellers representing large corporations, franchises, or chain businesses are not permitted.

4. Listing Products and Services

4.1 Products must be locally made, ethically sourced, or sustainable.
4.2 Prohibited items include:

• Illegal or unsafe products.
• Mass-produced or imported goods.
• Items that do not align with Local Green Stuff’s values.
  4.3 Listings must include clear, accurate descriptions and pricing.
  4.4 You are responsible for ensuring that all Products meet safety, quality, and legal standards.

5. Order Fulfillment and Delivery

5.1 You must ensure orders are fulfilled accurately and promptly.
5.2 Notify buyers and update order statuses (e.g., “shipped”) through your account.
5.3 Physical products must be dispatched within three working days unless otherwise specified.
5.4 If delivery issues arise, communicate with the buyer and resolve promptly.
5.5 Refunds must be issued for undelivered or defective Products, including delivery charges.

6. Customer Communication

6.1 Respond to customer inquiries within 48 hours.
6.2 Maintain professional and respectful communication at all times.
6.3 Address disputes or complaints promptly, aiming for resolution in good faith.

7. Payments and Fees

7.1 Payments are processed through Stripe. Sellers must maintain a valid Stripe account.
7.2 Stripe transaction fees apply (e.g., 1.5% + 20p for UK cards).
7.3 Local Green Stuff may charge platform fees or subscription charges, disclosed at the time of signup.
7.4 Sellers are responsible for complying with tax obligations.
7.5 Payments may be withheld if there are unresolved disputes or suspected breaches of these Terms.

8. Membership and Cancellation

8.1 Sellers may choose between free and premium subscription plans.
8.2 Subscriptions are non-refundable.
8.3 Sellers can cancel their subscription through their account. Access remains active until the end of the billing cycle.

9. Prohibited Activities

9.1 Sellers may not:

• List prohibited items (see Section 4.2).
• Use the platform for fraudulent, misleading, or unlawful purposes.
• Engage in abusive, discriminatory, or offensive behavior toward buyers or staff.
  9.2 Violations may result in suspension or termination of your account.

10. Intellectual Property

10.1 You retain ownership of your Content but grant Local Green Stuff the right to display and promote it without regard.
10.2 You warrant that you have the rights to use and sell all Content and Products listed.

11. Disputes and Refunds

11.1 If a buyer disputes an order, you must cooperate to resolve the issue promptly.
11.2 Stripe may handle payment disputes according to its policies, and funds may be withheld during the resolution process.
11.3 Sellers must comply with all legal obligations regarding refunds and returns.

12. Liability

12.1 Local Green Stuff is not liable for disputes, damages, or losses arising from transactions between sellers and buyers.
12.2 Sellers indemnify Local Green Stuff against any claims or damages resulting from breaches of these Terms or applicable laws.

13. Suspension and Termination

13.1 We reserve the right to suspend or terminate accounts that violate these Terms or harm the platform’s reputation.
13.2 Sellers may appeal account suspension by contacting support.

14. Governing Law

14.1 The validity, construction and performance of this agreement shall be governed by the laws of [England and Wales / Scotland / Northern Ireland] and you agree that any dispute arising from it shall be litigated only in [England and Wales / Scotland / Northern Ireland].
14.2 Disputes must first attempt to be resolved through mediation before escalating to legal action.

16. Use of User-Generated Content

16.1 By posting or uploading any content, including but not limited to text, images, videos, or other materials (“Content”) to Local Green Stuff or associated platforms, you grant Local Green Stuff a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display the Content in connection with our business.

16.2 This license includes, but is not limited to, the right to use your Content for:

• Marketing and promotional materials (digital and print).
• Social media campaigns.
• Advertising or awareness efforts for Local Green Stuff.

16.3 You warrant that:

• You own or have the necessary rights and permissions to grant us this license.
• Your Content does not infringe on the rights of any third party, including intellectual property or privacy rights.

16.4 We will make reasonable efforts to credit you as the creator of the Content where appropriate, but this is not guaranteed.

16.5 You can request the removal of specific Content from future promotional use by contacting us at localgreenstuff@gmail.com. However, this does not revoke the license for materials already used.

16.6 Local Green Stuff reserves the right to moderate, edit, or remove Content posted to the platform or associated channels at its sole discretion.
